END-USER LICENSE AGREEMENT (Terms of Use)

These Terms of Use ("Agreement") govern your use of the online booth reservation system (the "Service") operated by the New Jersey Builders Association ("NJBA," "we," "us," "our") in connection with the Atlantic Builders Convention ("ABC" or the "Convention"). By using this Service to reserve a booth, you ("Exhibitor," "you") agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of the company or organization you represent. By submitting a reservation, you represent and warrant that you have such authority.

2. The Service

The Service allows you to:

  • View the Convention floorplan and available booth spaces
  • Reserve one or more booth spaces for the upcoming Convention
  • Submit company and contact information
  • Pay a non-refundable deposit via credit card
  • Receive an invoice for the remaining balance

The Service is provided "as is" and we may modify, suspend, or discontinue it at any time without prior notice.

3. Reservations and Acceptance

  • Submission of a reservation request constitutes an offer to enter into an exhibit contract. Your reservation is not confirmed until we accept it and the deposit has been successfully processed.
  • We reserve the right to reject any reservation in our sole discretion.
  • Once accepted, you are responsible for the full booth fee minus any applicable promo discount, less the deposit paid at registration.
  • The remaining balance ("Balance Due") will be invoiced separately and is payable per the terms of that invoice.

4. Payment Terms

  • Deposit: A non-refundable deposit (currently $500.00, subject to change) is collected at the time of reservation via credit card.
  • Balance: The remaining balance is invoiced after reservation. Payment is due per the invoice terms.
  • Currency: All amounts are in U.S. Dollars.
  • Payment processor: Credit card payments are processed by Authorize.net, a service of Visa Inc. Your card information is transmitted directly to Authorize.net and is not stored on our servers (see our Privacy Policy for details).
  • Invoicing: Balance invoices are generated through Intuit QuickBooks Online and sent to the billing contact email you provide. Payment of the balance invoice is subject to the terms of that invoice.

5. Promo Codes

Promo codes are single-use unless otherwise stated. We reserve the right to invalidate any promo code obtained fraudulently or used in violation of these Terms.

6. Cancellation and Refunds

  • The deposit is non-refundable regardless of cancellation.
  • Cancellation requests for the remaining balance are governed by the Exhibit Contract Terms & Conditions referenced in your reservation confirmation and at https://abconvention.com/terms-and-conditions/.
  • We do not provide refunds for failure to attend the Convention.

7. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Submit false, misleading, or incomplete information
  • Use another person's payment card without authorization
  • Interfere with or attempt to gain unauthorized access to the Service
  • Use automated scripts, bots, or other tools to submit reservations

8. Third-Party Services Disclosure

Our Service integrates with the following third parties, whose own terms and privacy policies apply to your information processed by them:

By using the Service, you consent to your information being shared with these third parties as described in our Privacy Policy.

9. Intellectual Property

The Service, including the floorplan, software, content, trademarks, and logos, is owned by us or our licensors and is protected by intellectual property laws. You are granted a limited, non-transferable license to use the Service solely for the purpose of reserving a booth.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Monmouth County, New Jersey.

14. Changes to Terms

We may update these Terms at any time. Changes take effect upon posting to the Service. Your continued use after changes constitutes acceptance.
