TERMS AND CONDITIONS GOVERNING THE 2027 ATLANTIC BUILDERS CONVENTION
These Terms and Conditions ("Terms") govern participation in the 2027 Atlantic Builders Convention ("Convention") and are incorporated into every Exhibit Space Agreement and online exhibit reservation.
By reserving exhibit space, submitting an online reservation, executing an Exhibit Space Agreement, making payment for exhibit space, or otherwise participating in the Convention as an exhibitor, the exhibitor ("Exhibitor") agrees to be bound by these Terms.
These Terms constitute a binding legal agreement between the Exhibitor and the New Jersey Builders Association, Inc. ("NJBA" or "Show Management"). Together with the Exhibit Space Agreement, Exhibitor Service Manual, and official exhibitor communications issued by Show Management, these Terms constitute the complete agreement governing the Exhibitor's participation in the Convention.
DEFINITIONS
For purposes of these Terms:
Convention means the 2027 Atlantic Builders Convention and all related activities conducted by Show Management.
Exhibitor means any individual, company, partnership, corporation, organization, or other entity reserving or occupying exhibit space at the Convention, together with its officers, employees, representatives, agents, contractors, and invitees.
Exhibit Space means the booth, exhibit area, sponsorship activation, demonstration area, or other space assigned or licensed to an Exhibitor by Show Management.
Show Management means the New Jersey Builders Association, Inc., its officers, directors, employees, agents, contractors, and authorized representatives.
Exhibitor Service Manual means the official operational guide issued by Show Management containing exhibitor procedures, deadlines, operational requirements, and instructions governing participation in the Convention, as amended from time to time.
Official Service Contractor means the contractor(s) designated by Show Management to provide decorating, freight, labor, utilities, or other exhibitor services.
MANAGEMENT AUTHORITY
Show Management reserves the right to interpret and enforce these Terms, establish and amend policies governing the Convention, determine the eligibility and suitability of exhibitors and exhibits, assign or relocate Exhibit Space, modify the exhibit floor plan, establish operational procedures, and resolve all matters relating to the operation of the Convention.
Show Management reserves the right to adopt additional rules or procedures whenever necessary to ensure the safe, orderly, and successful operation of the Convention.
All decisions of Show Management shall be final and binding upon Exhibitors.
CHARACTER OF EXHIBITS
The Convention is intended to promote products and services related to the residential construction industry.
Show Management reserves the right, in its sole discretion, to determine the eligibility of any Exhibitor, exhibit, product, service, display, or promotional activity. Show Management may refuse, prohibit, remove, or require modification of any exhibit or activity that is inconsistent with the objectives of the Convention, detracts from the professional character of the event, interferes with neighboring exhibitors, or otherwise violates these Terms.
No exhibit, display, sign, banner, demonstration, or advertising material shall extend beyond the boundaries of the assigned Exhibit Space or into aisles or common areas without the prior written approval of Show Management.
EXHIBITOR INFORMATION
The most current Convention information, including the Exhibitor Service Manual, official exhibitor communications, deadlines, and updates, will be made available through the Atlantic Builders Convention website and other official communications issued by Show Management.
Exhibitors are responsible for reviewing all official communications and complying with all published requirements and deadlines.
Exhibitor badges are required for access to the exhibit floor. Booth personnel shall be registered through the Convention's official online registration system in accordance with procedures established by Show Management.
CARE OF EXHIBIT SPACE
Exhibitors shall maintain their Exhibit Space in a clean, safe, orderly, and professional manner throughout the Convention.
Boxes, crates, packing materials, and other storage items shall not be kept within the Exhibit Space except as permitted by Show Management or described in the Exhibitor Service Manual.
Operational requirements regarding housekeeping, storage, cleaning, and maintenance are contained in the Exhibitor Service Manual.
EXHIBIT INSTALLATION
Exhibits shall be installed only during the official move-in periods established by Show Management.
Complete installation procedures, schedules, shipping instructions, and operational requirements are contained in the Exhibitor Service Manual and official communications issued by Show Management.
Exhibitors are responsible for ensuring their exhibits are fully installed and ready for opening of the exhibit hall.
DAMAGE TO FACILITY
No Exhibitor shall bring any article into the Convention or engage in any activity that may damage the Convention facility or increase the insurance premiums maintained by the facility owner.
Exhibitors shall not deface, mar, damage, or otherwise alter any portion of the Convention facility.
The Exhibitor shall be responsible for the cost of repairing any damage caused by the Exhibitor or its employees, representatives, contractors, agents, or invitees.
SHIPPING, RECEIPT, AND STORAGE OF GOODS
Exhibitors are solely responsible for the shipment, receipt, storage, and removal of all exhibit materials and equipment.
Shipping procedures, freight handling, storage, material handling services, and related operational requirements are described in the Exhibitor Service Manual and by the Official Service Contractor.
Show Management assumes no responsibility for the receipt, storage, security, transportation, or return of exhibitor property.
INDEMNIFICATION
To the fullest extent permitted by law, the Exhibitor shall indemnify, defend and hold harmless the New Jersey Builders Association Inc, and, its officers, directors, trustees, agents and employees from and against any and all claims, damages, losses and expenses, including but not limited to attorney's fees, arising out of or resulting from (1) Exhibitor's use of Exhibition Space or any other location or premises at the Convention, (2) violation of these Terms and Conditions; (3) conduct of Exhibitor's employees and guests in connection with the Convention, including but not limited to any bodily injury, sickness, disease or death, or injury to or destruction of tangible property, including loss of use resulting therefrom, caused in whole or in part by acts or omissions of the Exhibitor or anyone directly or indirectly employed by them or anyone for whose acts they may be liable, regardless of whether or not such claim, damage, loss or expense is caused in part by a party indemnified hereunder. Such indemnification shall not be construed to negate, abridge, or otherwise reduce other rights or obligations of indemnity which would otherwise exist as to a party or person described in this Paragraph 1.1.
In claims against any person or entity indemnified under Paragraph 1 by an employee of the Exhibitor or anyone directly or indirectly employed by them or anyone for whose acts they may be liable, the indemnification obligation under Paragraph 1.1 shall not be limited by a limitation on amount or type of damages, compensation, or benefits payable under Workers' or Workmen's Compensation Acts or other employee benefit acts.
INSURANCE REQUIREMENTS
Exhibitor agrees that any insurance acquired pursuant to these Terms and Conditions shall name Show Management as an additional insured.
The Exhibitor shall purchase and maintain insurance of the following types of coverage and limits of liability:
Commercial General Liability – including Contractual Liability
$1,000,000 per Occurrence
$2,000,000 Aggregate
Workers Compensation – NJ Statutory Benefits
Auto Insurance – $1,000,000 Liability Per Accident (if required)
A Certificate of Insurance acceptable to Show Management shall be provided to Show Management prior to (i) set up of any equipment or material for use at the Convention or (ii) any other use of the Exhibition Space by Exhibitor.
The certificate should show the insurance policies required by these Terms and Conditions and shall contain the following statement:
"The New Jersey Builders Association Inc, Atlantic Builders Convention and each of their officers, agents and employees, Hard Rock Hotel and Casino Atlantic City and their subsidiaries and affiliates, and each of their officers, Directors, representatives and employees are named as additional insured on a primary, non-contributory basis to the commercial liability and auto liability insurance shown above for all activities conducted as part of or related to the 2027 Atlantic Builders Convention."
COMPLIANCE WITH LAWS
Exhibitors shall comply with all applicable federal, state, and local laws, regulations, ordinances, fire codes, public health requirements, ADA requirements, licensing requirements, and facility rules.
Exhibitors are responsible for obtaining any permits or approvals required for their exhibits or demonstrations.
USE OF LIVE OR MECHANICAL MUSIC
No live musical performance or use of recorded music requiring licensing through ASCAP, BMI, SESAC, or any other licensing organization shall be permitted unless the Exhibitor has obtained all required licenses and approvals.
Exhibitors shall be solely responsible for any licensing fees arising from their use of copyrighted music.
EXHIBIT CONSTRUCTION, DECORATION, AND OPERATION
Exhibitors shall comply with all exhibit construction, decoration, signage, display, safety, operational, and booth requirements contained in the Exhibitor Service Manual.
LABOR
Exhibitors shall comply with all labor requirements established by the Convention facility, applicable collective bargaining agreements, the Official Service Contractor, and the Exhibitor Service Manual.
ELECTRICAL, INTERNET, AND OTHER UTILITIES
Electrical service, internet access, telecommunications, plumbing, and other utility services shall be obtained through the Official Service Contractor or other authorized provider designated by Show Management.
Ordering procedures are contained in the Exhibitor Service Manual.
EXHIBIT REMOVAL
Exhibitors shall maintain their exhibits in a fully staffed, operational, and professional condition throughout published exhibit hours.
Early dismantling or removal of exhibits prior to the official closing of the exhibit hall is prohibited unless approved in writing by Show Management.
Exhibitors violating this policy may be assessed an early breakdown fee of $1,000 per 100 square feet of occupied Exhibit Space, may lose future booth selection privileges, and may be subject to additional remedies available to Show Management.
Complete move-out procedures are contained in the Exhibitor Service Manual.
EXHIBITOR SERVICE MANUAL
The Exhibitor Service Manual is incorporated into these Terms by reference and forms an integral part of the Exhibitor Package..
The Exhibitor Service Manual contains operational policies and procedures governing participation in the Convention, including exhibit installation, shipping, labor, utilities, decorating, safety requirements, deadlines, and other operational matters.
Exhibitors agree to comply with the Exhibitor Service Manual and all official exhibitor communications issued by Show Management.
EXCLUSIVE USE OF EXHIBIT SPACE
Exhibit Space is licensed solely to the Exhibitor identified in the Exhibit Space Agreement.
Exhibitors shall not assign, sublease, transfer, share, or permit occupancy of Exhibit Space by any other person or entity without the prior written consent of Show Management.
Assignment
Assignment. Exhibitor shall not assign, transfer, sublicense, pledge, or otherwise convey any rights under the Exhibit Space Agreement without the prior written consent of Show Management.
Simple.
CANCELLATION
If Exhibitor elects not to use its designated Exhibition Space in accordance with these Terms and Conditions, the Exhibitor shall notify Show Management of such election by certified mail at Show Management’s principal address: New Jersey Builders Association, 16 South Avenue West #122, Cranford, NJ 07016. Said election shall be effective as of the date of receipt of the notice by the Show
Management as evidenced by the signed certified receipt issued by the U.S. Post Office Department. In such event, Exhibitor shall pay to Show Management the following sum of money, which is hereby agreed upon as liquidated damages it being distinctly understood and agreed that the amount of damage that Show Management may incur by reason of the breach hereof cannot be easily estimated or determined. Hence this figure is arrived at, which is not a penalty, but it is expressly agreed upon as such liquidated damages:
- In the event Show Management receives Exhibitor’s notice of cancellation in excess of ninety
(90) days prior to commencement of the Convention, Show Management shall retain fifty (50%) percent of the full amount of the exhibition fee.
- In the event Show Management receives Exhibitor’s notice of cancellation within ninety (90) days prior to commencement of the Convention, Show Management shall retain the full of the exhibition fee.
FORCE MAJEURE
If the Convention is cancelled, postponed, relocated, interrupted, or materially affected by circumstances beyond the reasonable control of Show Management, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, public health emergency, labor disputes, terrorism, civil disturbance, governmental action, utility interruption, war, or any other event rendering the Convention impracticable, illegal, or impossible, Show Management may cancel, postpone, relocate, shorten, extend, or otherwise modify the Convention.
Show Management shall not be liable for any damages, losses, or expenses incurred by Exhibitor as a result of such action. Any refund of exhibit fees shall be determined by Show Management based upon the circumstances and expenses incurred, and any refund shall constitute Exhibitor's sole and exclusive remedy. Show Management shall determine, in its sole discretion, the amount of any refund after deduction of expenses incurred in connection with the Convention.
REMEDIES
Violation of any provision of the Terms and Conditions will result in the Exhibitor forfeiting the ability to use Exhibition Space or attend the Convention. Exhibitor will forfeit to the Show Management all fees and the Exhibitor agrees to pay any deficiency, loss or damage suffered by Show Management.
Notwithstanding anything to the contrary contained herein, if Exhibitor violates these Terms and Conditions, Show Management reserves and shall have the right to pursue all rights and remedies Show Management may have at law or in equity.
Without limiting the foregoing, violation of these Terms, the Exhibit Space Agreement, the Exhibitor Service Manual, or official exhibitor communications may result in one or more of the following remedies at the sole discretion of Show Management:
- Removal or modification of an exhibit;
- Suspension or termination of exhibit activities;
- Closure of Exhibit Space;
- Cancellation of exhibit space without refund;
- Assessment of applicable fees or damages authorized by these Terms;
- Refusal of exhibit space at future Atlantic Builders Conventions; and
- Any other remedy available at law or in
The exercise of any remedy shall not preclude Show Management from exercising any other rights available under these Terms or applicable law.
RELEASE
Exhibitor releases and forever discharges Show Management, its successors and assigns, and all of their past, present, and future officers, directors, managers, owners, employees, agents, and contractors, and their heirs and legal representatives (together, the “ Show Management Group”), of and from, and Exhibitor waives and holds the Show Management Group harmless from, any and every claim, action, cause of action, and demand of every name, nature, or description, direct or indirect, known or unknown, foreseen or unforeseen, anticipated or unanticipated, absolute or contingent, and any and all obligations and liabilities whatsoever (including attorneys’ fees and costs), both at law and in equity (each, a “Claim”), arising from Exhibitor’s use of the Exhibition Space or participation at the Convention, or any act or omission of Show Management, or in any way related to the Convention or any other person that might have liability to Show Management, including without limitation, any Claims for damages and loss from personal injuries (including emotional trauma), death, property damage or theft, defamation, and invasion of privacy. Exhibitor hereby waives the protections of any law whose purpose, substance, or effect is to provide that a general release shall not extend to Claims, which the person giving the release does not know or suspect to exist at the time of signing a release.
COVENANT NOT TO SUE
Exhibitor will not bring or maintain any Claim at law or in equity against any of the Show Management Group. If Exhibitor breaches this covenant, Exhibitor understands that Exhibitor will be responsible for all costs and expenses (including attorneys' fees and costs) incurred by the Show Management Group in defending against such Claims.
LIMITATION OF LIABILITY
Notwithstanding anything to the contrary contained herein, any claim by Exhibitor against Show Management shall be limited to the exhibition fee paid by Exhibitor to Show Management.
PHOTOGRAPHY AND PROMOTIONAL USE
By participating in the Convention, Exhibitor grants Show Management the unrestricted right to photograph, videotape, livestream, record, and otherwise capture images of Exhibitor's Exhibit Space, products, trademarks, logos, employees, and representatives during the Convention.
Such materials may be used by Show Management for promotional, educational, historical, archival, editorial, or marketing purposes in any media now existing or later developed without further notice or compensation.
ELECTRONIC ACCEPTANCE
Submission of an online exhibit reservation, execution of an electronic Exhibit Space Agreement, payment of exhibit fees, or electronic acceptance of these Terms constitutes Exhibitor's agreement to be legally bound by the Exhibitor Package.
Electronic acceptance shall have the same legal force and effect as an original handwritten signature.
ENTIRE AGREEMENT
The Exhibitor's online reservation, Exhibit Space Agreement, these Terms, the Exhibitor Service Manual, and official exhibitor communications issued by Show Management (collectively, the "Exhibitor Package") constitute the complete and exclusive agreement between Show Management and Exhibitor relating to participation in the Convention.
No oral representations, prior agreements, or understandings shall modify the Exhibitor Package unless confirmed in writing by Show Management.
In the event of any conflict between the documents comprising the Exhibitor Package, these Terms shall control unless expressly stated otherwise.
SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
RELATIONSHIP OF PARTIES
Nothing contained in these Terms shall be construed to create a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between Show Management and Exhibitor.
WAIVER
Failure of Show Management to enforce any provision of these Terms shall not constitute a waiver of that provision or of the right to enforce any other provision at any time.
AMENDMENTS
Show Management shall have the right to interpret and to amend these Terms and Conditions and/or to make any other rules and regulations governing the Convention, which shall be binding on Exhibitor. It is the Exhibitor's responsibility to review the Exhibitor Package, including these Terms and Conditions, the Exhibitor Service Manual, and official exhibitor communications, for updates and changes.
GOVERNING LAW
These Terms and Conditions are governed by New Jersey Law. In the event of any litigation, any lawsuit must be brought in the State or Federal Courts of Union County, New Jersey. Exhibitor hereby voluntarily waives any right that Exhibitor may have to a trial by jury in any action, proceeding or litigation.
These Terms and Conditions shall be binding on Exhibitor and its successors and assigns.
EFFECTIVE DATE
These Terms and Conditions are effective for the 2027 Atlantic Builders Convention and supersede all prior versions
